  STRAIGHT UP TERMS OF SERVICE

1. Agreement to These Terms

Welcome to Straight Up.

These Terms of Service ("Terms") govern your access to and use of the Straight Up mobile application, website, and related services (collectively, the "Services").

The Services are owned and operated by Oklahoma Technology Company, LLC d/b/a Straight Up ("Straight Up," "we," "our," or "us").

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

2. Eligibility

To use Straight Up, you must:

• Be at least 18 years of age.
• Have the legal authority to enter      into a binding agreement.
• Provide accurate and complete      registration information.
• Comply with all applicable      federal, state, and local laws.

Straight Up reserves the right to refuse service or terminate accounts that do not meet these requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

• Provide accurate and current      information.
• Keep your contact information      updated.
• Immediately notify Straight Up of      any unauthorized use of your account.
• Accept responsibility for all      activity occurring under your account until you notify us of unauthorized      access.

4. Description of Services

Straight Up provides a technology platform that enables users to send and receive electronic payments and tips.

Straight Up is not a bank, credit union, or financial institution. Payment processing and related financial services are provided through authorized third-party payment processors and financial partners.

5. Acceptable Use

You agree to use Straight Up only for lawful purposes.

You may not:

• Violate any applicable law or      regulation.
• Use another person's identity or      account.
• Submit false or misleading      information.
• Attempt to gain unauthorized      access to our systems.
• Introduce malware, viruses, or      harmful code.
• Interfere with the operation or      security of the Services.
• Use Straight Up for fraudulent,      deceptive, or illegal activity.
• Attempt to launder money or evade      financial regulations.

Violation of this section may result in immediate suspension or permanent termination of your account.

6. Payments and Transactions

All payments are subject to verification, fraud prevention measures, and applicable legal requirements.

Once a transaction has been authorized and successfully processed, it is generally considered final.

Refunds and payment disputes are governed by Straight Up's Payments, Refunds, and Disputes Policy, which is incorporated into these Terms by reference.

Straight Up reserves the right to delay, decline, suspend, or cancel transactions when necessary to:

• Prevent fraud.
• Protect users.
• Comply with legal obligations.
• Investigate suspicious activity.
• Satisfy payment processor      requirements.

7. Identity Verification

Straight Up may require identity verification before allowing access to certain features or services.

Failure to complete requested verification may result in delayed transactions, restricted account access, suspension, or account termination.

8. Intellectual Property

All software, technology, trademarks, logos, graphics, text, and other content associated with Straight Up are owned by Oklahoma Technology Company, LLC or its licensors and are protected by applicable intellectual property laws.

No part of the Services may be copied, reproduced, modified, distributed, reverse engineered, or used without prior written permission.

9. Privacy

Your use of Straight Up is also governed by our Privacy Policy.

By using the Services, you acknowledge that your information may be collected, used, and shared as described in the Privacy Policy.

10. Suspension and Termination

Straight Up reserves the right to suspend, restrict, or terminate your account at any time if we reasonably believe you have:

• Violated these Terms.
• Violated applicable laws.
• Engaged in fraudulent or      suspicious activity.
• Created an unacceptable risk to      Straight Up or other users.
• Failed to comply with identity      verification requirements.

Termination does not eliminate any obligations arising from transactions completed before the account was closed.

11. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Straight Up disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, availability, and non-infringement.

We do not guarantee uninterrupted or error-free operation of the Services.

12. Limitation of Liability

To the fullest extent permitted by law, Oklahoma Technology Company, LLC, its officers, managers, employees, affiliates, contractors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Services.

Where liability cannot legally be excluded, liability shall be limited to the maximum extent permitted under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Oklahoma Technology Company, LLC, its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of another      person's rights.

14. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Oklahoma, without regard to its conflict of law principles.

Any legal action arising from these Terms shall be brought in a court of competent jurisdiction located within the State of Oklahoma, unless otherwise required by applicable law.

15. Changes to These Terms

Straight Up may update these Terms from time to time.

When changes are made, the revised Terms will be posted with a new Effective Date.

Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the updated Terms.
